Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SpinUp platform at spinup.events (the "Service"), operated by SpinUp ("we", "us", "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • "Service" means the SpinUp platform, including all web pages, APIs, and associated services accessible at spinup.events.
  • "User" means any individual who accesses or uses the Service, whether as a visitor, registered user, organiser, or attendee.
  • "Organiser" means a User who creates and manages events on the Service.
  • "Attendee" means a User who registers for, purchases tickets to, or attends an event listed on the Service.
  • "Content" means any text, images, data, or other materials uploaded to or generated through the Service.
  • "Event" means any event, gathering, or activity listed on the Service by an Organiser.

2. Eligibility & Account Registration

2.1 Age Requirement

You must be at least 13 years old to create an account. If you are under 18, you must have the consent of a parent or legal guardian. By creating an account, you represent and warrant that you meet these requirements.

2.2 Account Responsibility

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@spinup.events if you become aware of any unauthorised use of your account.

2.3 Account Information

You agree to provide accurate, current, and complete information when creating your account and to update it promptly if it changes. We reserve the right to suspend or terminate accounts that contain materially inaccurate or fraudulent information.

3. The Service

3.1 Platform Role

SpinUp provides a platform for Organisers to create and manage event pages and for Attendees to discover and register for events. We are a technology platform — we do not organise, host, or control the events listed on the Service. The contractual relationship for event attendance is between the Organiser and the Attendee.

3.2 Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. We may temporarily suspend or restrict access for maintenance, updates, or reasons beyond our control. We will endeavour to provide reasonable notice of planned downtime.

3.3 Changes to the Service

We may modify, update, or discontinue features of the Service at any time. Where changes materially affect your use of the Service, we will provide reasonable notice.

4. Organiser Responsibilities

4.1 Event Accuracy

Organisers are solely responsible for the accuracy and completeness of event information, including event name, description, date, time, location, ticket pricing, and capacity. Organisers must keep event information up to date and notify Attendees of any material changes.

4.2 Legal Compliance

Organisers are responsible for ensuring their events comply with all applicable laws and regulations, including but not limited to health and safety legislation, licensing requirements, equality legislation (Equality Act 2010), consumer protection law (Consumer Rights Act 2015), and any local authority requirements.

4.3 Data Protection

Where Organisers receive Attendee personal data through the Service, the Organiser becomes an independent data controller for that data. Organisers must handle Attendee data in accordance with UK GDPR and the Data Protection Act 2018, including having a lawful basis for processing, providing appropriate privacy notices, and responding to data subject requests.

4.4 Refund Policy

Organisers are responsible for setting and communicating their own refund and cancellation policies to Attendees. If an Organiser cancels an event, the Organiser is responsible for processing refunds to Attendees. SpinUp may facilitate refunds through Stripe but is not liable for refund disputes between Organisers and Attendees.

4.5 Tax Obligations

Organisers are responsible for their own tax obligations, including VAT registration and reporting, income or corporation tax on ticket sales, and any other applicable taxes. SpinUp does not provide tax advice.

5. Attendee Responsibilities

5.1 Registration & Purchase

By registering for an event or purchasing tickets, you enter into a contractual arrangement with the Organiser, not with SpinUp. You are responsible for reviewing the event details, the Organiser's refund policy, and any event-specific terms before completing your registration or purchase.

5.2 Conduct

You agree to behave respectfully and lawfully when attending events and when interacting with the Service. You must not engage in harassment, discrimination, fraud, or any other conduct that violates applicable law or these Terms.

6. Payments & Fees

6.1 Payment Processing

All payments are processed by Stripe. By making a payment through the Service, you agree to Stripe's terms of service. SpinUp does not store your payment card details.

6.2 Stripe Connect

Organisers who accept payments must connect a Stripe account via Stripe Connect. Funds from ticket and sponsorship sales are paid directly to the Organiser's Stripe account, subject to Stripe's processing fees and payout schedule. SpinUp does not hold funds on behalf of Organisers.

6.3 Platform Fees

SpinUp may charge platform fees for certain features or transactions. Any applicable fees will be clearly disclosed before you incur them. We reserve the right to introduce, modify, or remove fees with reasonable notice.

6.4 Refunds

Refund requests for paid tickets should be directed to the event Organiser. Where a refund is agreed, the Organiser is responsible for processing it through Stripe. SpinUp may assist with refund processing but accepts no liability for refund disputes. In the event of event cancellation by the Organiser, the Organiser is obligated to offer full refunds in accordance with UK consumer protection law.

6.5 Currency

All prices displayed on the Service are in British Pounds Sterling (GBP) unless otherwise stated. Currency conversion, if applicable, is handled by Stripe.

7. Content & Intellectual Property

7.1 Your Content

You retain ownership of Content you upload to the Service (event descriptions, images, organiser profiles, etc.). By uploading Content, you grant SpinUp a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that Content solely for the purpose of operating and promoting the Service. This licence ends when you delete the Content or your account, except where the Content has been shared with or downloaded by other Users.

7.2 Content Standards

You must not upload Content that:

  • Is unlawful, defamatory, obscene, threatening, or harassing
  • Infringes any third party's intellectual property rights, privacy rights, or other rights
  • Contains malware, viruses, or other harmful code
  • Is misleading, fraudulent, or deceptive
  • Promotes illegal activity, violence, or discrimination
  • Violates any applicable law or regulation

We reserve the right to remove Content that violates these standards without prior notice.

7.3 SpinUp's Intellectual Property

The Service, including its design, software, logos, trademarks, and original content, is owned by SpinUp and protected by UK and international intellectual property law. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

8. Prohibited Uses

You must not use the Service to:

  • Create fraudulent, misleading, or scam events
  • Collect personal data from other Users without their consent
  • Send unsolicited communications (spam) to other Users
  • Attempt to gain unauthorised access to the Service, other Users' accounts, or our infrastructure
  • Interfere with, disrupt, or place an unreasonable load on the Service
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
  • Resell, sublicence, or commercially exploit the Service without our consent
  • Impersonate another person or entity
  • Circumvent any access controls, rate limits, or security features
  • Use the Service for any purpose that is unlawful under English and Welsh law or any other applicable jurisdiction

9. Suspension & Termination

9.1 By You

You may close your account at any time by contacting us at hello@spinup.events. Upon closure, your profile and associated data will be deleted in accordance with our Privacy Policy, subject to any legal retention requirements.

9.2 By Us

We may suspend or terminate your account, or restrict your access to the Service, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if continued provision of the Service to you is no longer commercially viable. Where practicable, we will provide notice and an explanation before or promptly after taking action.

9.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) any outstanding payment obligations survive; (c) provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will continue in effect.

10. Disclaimers

10.1 Platform Disclaimer

SpinUp is a platform that connects Organisers and Attendees. We do not vet, endorse, or guarantee the quality, safety, legality, or accuracy of any event, Organiser, or Content listed on the Service. You attend events and interact with Organisers at your own risk.

10.2 Service Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10.3 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under UK law, including rights under the Consumer Rights Act 2015. Statutory rights cannot be excluded or limited by contract.

11. Limitation of Liability

11.1 Exclusions

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law.

11.2 Limitations

Subject to Section 11.1, we shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business, or anticipated savings
  • Any loss arising from events organised by third-party Organisers
  • Any loss arising from the acts or omissions of our third-party service providers
  • Any loss arising from circumstances beyond our reasonable control (force majeure)

11.3 Cap

Subject to Section 11.1, our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the greater of: (a) the total fees you paid to SpinUp in the 12 months preceding the claim; or (b) one hundred pounds sterling (£100).

12. Indemnification

You agree to indemnify and hold harmless SpinUp, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) Content you upload to the Service; (d) any event you organise through the Service; or (e) your violation of any law or the rights of any third party.

13. Dispute Resolution

13.1 Between Organisers and Attendees

Disputes between Organisers and Attendees (including refund disputes, event cancellations, and complaints about event quality) are between those parties. SpinUp is not a party to such disputes but may, at our discretion, provide information or facilitate communication to help resolve them.

13.2 Between You and SpinUp

If you have a dispute with SpinUp, we encourage you to contact us first at hello@spinup.events so we can attempt to resolve it informally. If we cannot resolve the dispute informally within 30 days, either party may pursue formal resolution.

13.3 Alternative Dispute Resolution

If you are a consumer, you may be entitled to use the UK's alternative dispute resolution (ADR) procedures. Information about ADR is available from Citizens Advice at citizensadvice.org.uk.

14. General Provisions

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your country of residence.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpinUp regarding your use of the Service and supersede any prior agreements or understandings.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.6 Third-Party Rights

These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.

14.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, strikes, government actions, power failures, internet or telecommunications failures.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Where changes materially affect your rights, we may also notify you by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
